Terms of Service

1. Agreement Overview

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you”) and Logic Framework (“Company,” “we,” “us”), the developer and operator of the LogicSite platform available at logicsite.pro (the “Service”).

By creating an account, accessing, or using any part of the Service you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

The Service is intended for users who are at least 18 years of age. By using the Service you represent and warrant that you meet this requirement and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3. Account Responsibilities

When you register for an account you agree to provide accurate and complete information and to keep that information current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must notify us immediately at support [at] logicsite [dot] pro if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that contain misleading information or violate these Terms.

4. The Service

LogicSite is a professional site management platform that helps teams plan, manage, and collaborate on physical site projects. The Service includes floor plan annotation, device management, project collaboration, service requests, work orders, and related tools.

4.1 Two Account Types

The Service supports two distinct types of organizational account, each with different rights and obligations:

  • Contractor accounts — organizations that perform installation, service, or related work and that document that work in the Service. If you use a Contractor account, you represent that you hold the licenses, qualifications, and authorizations required to perform the work you record, and that information you record about work performed (including completion notes and photographs) accurately depicts the work actually performed.
  • Owner accounts — organizations that own, operate, or manage the sites being documented. If you use an Owner account, you represent that you have the right to authorize documentation of the sites, structures, and devices you create or share within the Service.

Some projects are shared between a Contractor account and an Owner account. Where these Terms refer to obligations of “Contractors” or “Owners,” those obligations apply to the account acting in that capacity on the relevant project.

We may update, modify, or discontinue features of the Service at any time. We will make reasonable efforts to communicate material changes in advance where possible.

5. Subscriptions and Billing

5.1 Paid Plans

Certain features of the Service are available only through paid subscription plans. By selecting a paid plan you authorize us to charge the applicable fees to your designated payment method on a recurring basis until you cancel.

5.2 Free Tier

We may offer a free tier with limited functionality. We reserve the right to modify the scope of the free tier, impose usage limits, or discontinue it at any time without prior notice.

5.3 Price Changes

We may adjust pricing at our discretion. Any price increase will take effect at the start of your next billing cycle, and we will provide advance notice so that you may cancel before the new rate applies.

5.4 Refunds

Subscription fees are generally non-refundable except where required by applicable law. If you believe you are entitled to a refund, please contact our support team.

6. Customer Content and Data

6.1 Ownership

You retain all rights, title, and interest in the data, files, floor plans, device information, messages, photographs, and other content you upload or create through the Service (“Customer Content”). These Terms do not grant us ownership of your Customer Content.

6.2 License to Operate the Service

By submitting Customer Content you grant Logic Framework a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your Customer Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your Customer Content or close your account, except where retention is required by law or for legitimate business purposes such as backup and disaster recovery.

6.3 Shared Projects and Cross-Organization Access

The Service allows you to share a project with another organization — for example, when an Owner invites a Contractor to bid on or perform work, or when a Contractor hands off a completed project to an Owner. When you invite or accept another organization onto a project, or hand off a project to another organization, you grant that organization and its authorized users a license to access, view, and (where their role permits) copy and use the shared Customer Content for the purpose of collaborating on that project.

You acknowledge and agree that:

  • Content you contribute to a shared project (including floor plans, devices, comments, service requests, work orders, completion notes, and photographs) will be visible to the other organization(s) on that project, according to each user’s role.
  • Where the Service creates a copy of shared content in another organization’s account by design — such as the as-built package delivered to an Owner at handoff — that organization retains its delivered copy after the project ends or after the contributing organization’s access is removed, subject to that organization’s own obligations under these Terms.
  • You are responsible for the Customer Content you contribute to a shared project, including its accuracy, your right to share it, and your compliance with Section 7 (Acceptable Use).

Logic Framework facilitates this sharing as part of the Service but is not a party to, and is not responsible for, the commercial relationship or any dispute between the organizations sharing a project.

6.4 Service Improvement from Metadata

You acknowledge that we may use metadata, usage patterns, telemetry, and performance data generated through your interaction with the Service to analyze trends, optimize performance, develop new capabilities, and otherwise improve the Service.

6.5 Aggregated and De-identified Data

We may create aggregated, anonymized, or de-identified datasets derived from usage of the Service. Such data does not identify you, your organization, or any individual. Subject to Section 6.6, we may use these datasets for lawful purposes including analytics, benchmarking, product research, and improving the Service. These datasets remain the property of Logic Framework.

6.6 Use of Identifiable Content; Machine Learning

We will not use Customer Content that identifies you, your organization, or any individual — including floor plans, device data, comments, and completion photographs — to train machine-learning models, except with your explicit opt-in consent. Aggregated and de-identified data as described in Section 6.5 may be used to train or improve models because it does not identify you. The distinction is that identifiable content requires your consent; data from which all identifiers have been removed does not. Where we offer an opt-in or opt-out control for these uses, it operates at the organization level and applies to all of that organization’s projects.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload content that infringes the intellectual property or privacy rights of others.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Introduce viruses, worms, or other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse-engineer, decompile, or disassemble any portion of the Service.
  • Resell, sublicense, or redistribute access to the Service without our written consent.

7.1 Shared Projects

Because projects may be shared between organizations, you additionally agree not to:

  • Submit completion notes, status updates, or photographs as evidence of work that do not accurately depict the work actually performed, or that are misleading as to the state, location, or timing of the work.
  • Post comments, reopen reasons, or other content about another organization or its work product that you know to be false, or that is defamatory, harassing, or abusive.
  • Use access to a shared project to obtain, extract, or retain another organization’s Customer Content for any purpose other than collaborating on that project, including competitive or commercial misuse of site, device, or pricing data belonging to another organization.

We reserve the right to investigate violations and may suspend or terminate your access at our sole discretion.

8. Intellectual Property

The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Logic Framework and its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without prior written permission.

9. Feedback

If you provide suggestions, ideas, or other feedback regarding the Service (“Feedback”), you grant Logic Framework an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback into the Service or any other product without obligation or compensation to you.

10. Third-Party Services

The Service may integrate with or contain links to third-party websites, applications, or services. We do not control and are not responsible for the content, privacy practices, or availability of those third parties. Your use of any third-party service is governed by that service’s own terms and policies.

11. Communications

By creating an account you consent to receive transactional and service-related communications from us by email. You may also receive occasional product updates and announcements; you can opt out of non-essential communications at any time using the unsubscribe link provided in those messages.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

12.1 No Reliance on Customer Content

THE SERVICE DISPLAYS AND DELIVERS CONTENT SUPPLIED BY USERS AND OTHER ORGANIZATIONS, INCLUDING FLOOR PLANS, DEVICE DATA, COMPLETION NOTES, AND PHOTOGRAPHS. LOGIC FRAMEWORK DOES NOT CREATE, VERIFY, OR ENDORSE THAT CONTENT AND MAKES NO WARRANTY AS TO ITS ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY CONTENT BEFORE RELYING ON IT, INCLUDING ANY EVIDENCE OF WORK PERFORMED. NO ADVICE OR INFORMATION OBTAINED THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGIC FRAMEWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, BUSINESS, OR GOODWILL, OR ANY DAMAGES ARISING FROM CONTENT SUPPLIED BY ANOTHER USER OR ORGANIZATION OR FROM ANY DISPUTE BETWEEN YOU AND ANOTHER ORGANIZATION ON A SHARED PROJECT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Logic Framework, its affiliates, and their respective officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, judgments, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your use of the Service; (b) your Customer Content, including any claim that it is inaccurate, infringing, or misleading; (c) content you contribute to a shared project or any dispute between you and another organization on a shared project, including any claim that work evidence you submitted was false or that a statement you posted about another organization was defamatory; (d) your violation of these Terms or of any applicable law; or (e) your violation of the rights of any third party.

We will give you prompt notice of any claim subject to indemnification. We may, at our option, participate in or assume control of the defense and settlement of any such claim with counsel of our choice, and you will cooperate as reasonably requested. You will not settle any claim in a manner that imposes any obligation or admission on Logic Framework without our prior written consent.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice. You may terminate your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and liability limitations) will remain in effect.

15.1 Data Export

You may export a copy of your personal data at any time, including before terminating your account, using the self-service data-export tool in the Service. We will make this export available for a reasonable period following termination. We recommend exporting any content you wish to keep before you close your account.

15.2 Deletion

Following termination, we will retain, anonymize, or delete your Customer Content in accordance with our then-current data-retention practices and applicable law, except where we are required to retain it (for example, to comply with legal obligations, to resolve disputes, or to enforce these Terms). Content shared with another organization under Section 6.3 is addressed in Section 15.3.

15.3 Shared Projects on Termination

If you terminate your account or your access to a shared project ends, the other organization(s) on that project retain any copy of shared content that the Service delivered to their account by design (such as an as-built package delivered at handoff), along with records of completed work orders, service requests, and related activity needed to maintain a complete project history. Your own access to content contributed by another organization likewise ends when your access to that project ends, except for content already delivered to your account. This allocation reflects how the Service is designed to preserve a usable project record for both sides of a completed engagement.

15.4 Audit and Compliance Records

We retain administrative audit and security logs for your organization for the life of the organization’s account, or for such retention period as your organization configures where the Service offers that control, after which they are purged. These records exist to support security, accountability, and compliance and are not deleted on individual content deletion.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

17. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes we will update the “Last updated” date and, where appropriate, notify you via email or a prominent notice within the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

18. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Logic Framework regarding the Service and supersede all prior understandings and agreements.
